Our general terms and conditions of sale describe the terms and conditions applicable to your purchases on our website. They govern orders, payments, deliveries and returns. Please read them carefully before making any transaction.
ARTICLE 1: Purpose
- The purpose of these general terms and conditions of sale is to define the rights and obligations of SHEUTS.be and its CUSTOMERS. Only the specific conditions set out on the front page, where applicable, these general terms and conditions and the Commercial Code govern the conditions of sale of SHEUTS.be's products and services.
- They shall prevail over any conflicting terms and conditions that may appear on orders or other documents issued by the CLIENT.
ARTICLE 2: Prices & Services
- All our prices include VAT.
- Prices and deadlines are valid for one month from the date of issue of the quotation. They are firm and non-revisable upon order if the order is placed within that month.
- The service includes everything that is explicitly listed.
- Any service not included in this proposal will be subject to a free additional quotation.
- The corrections requested by the client are not unlimited; only those included in the order form will be made. Any additional corrections will be invoiced on an hourly basis at a rate of €95 per hour excluding VAT.
ARTICLE 3: Terms of payment
- Payments required: 20% upon signing the order form, 30% when the project is two-thirds complete, and 50% upon delivery of the project.
- Billing is carried out via SMartBe.
SMartBe terms and conditions: Invoices are generally payable by the customer within 10 days (7 working days) of the last date of service provision. Failure to pay the invoice by this date will trigger the reminder procedure.
ARTICLE 4: Delivery of schedules, mock-ups and working documents
- Upon receipt of the deposit, a schedule will be drawn up and sent by email.

ARTICLE 5: Ownership of production
- All production covered by this order remains the sole and exclusive property of SHEUTS.be until the invoices issued by SHEUTS.be have been paid in full by the client company, up to the total amount of the order and any amendments agreed during the service provision.
- Consequently, the client company will become the de facto owner of the production upon final settlement and payment of all invoices. The production files and sources remain the property of SHEUTS.be; only the finished product will be sent to the client.
- If the client wishes to obtain the source documents, a supplementary agreement must be requested.
ARTICLE 6: Responsibility and ownership of content
- The client company, represented by the signatory of this order, acknowledges and assumes full responsibility for the choices made regarding the textual and iconographic content appearing in the work delivered by SHEUTS.be.
- The client company, represented by the signatory of this order, acknowledges having read the warnings issued by the legal representatives of SHEUTS.be concerning copyright and intellectual property laws and the penalties that may be incurred for violating them. All text provided by the client must be proofread and corrected by the client beforehand; no modifications or spelling mistakes will be corrected by SHEUTS.be.
ARTICLE 7: Advertising rights
- Unless explicitly stated otherwise by the client, notified by registered letter with acknowledgement of receipt, SHEUTS.be reserves the right to mention its work for the client company as a reference in the context of its commercial prospecting, external communication and advertising activities.
- The client company, represented by the signatory of this order, authorises SHEUTS.be, through its legal and commercial representatives, to use the work for demonstration purposes only. This authorisation extends more specifically to the constituent elements of the work, including without limitation the public presentation of the following content: textual content and iconographic content.
ARTICLE 8: Domain name
- As SHEUTS.be acts solely as a technical intermediary with naming organisations for the reservation of domain names, the general terms and conditions of sale of these organisations must be taken into account. The CLIENT remains the sole owner of the domain name.
- The CLIENT acknowledges that they are using the domain name in accordance with applicable legislation and the rights of third parties. The CLIENT undertakes to indemnify, defend and hold harmless SHEUTS.be against any claims, damages, liabilities, costs and expenses arising from the registration of the domain name.
ARTICLE 9: Hosting
- The CLIENT's website will be hosted on its behalf by SHEUTS.be with suppliers. The guaranteed annual visibility rate is 99% except in cases of force majeure, network disruptions or saturation, anomalies, maintenance or improvements to the IT systems used. The allocated internet space is guaranteed to be free of advertising. SHEUTS.be shall not be held liable for any service interruption due to suppliers.
- Due to the characteristics and limitations of the Internet, which the CUSTOMER declares to be fully aware of, SHEUTS.be cannot be held liable in particular for :
- difficulties accessing the hosted system due to Internet congestion, telecommunications network disruptions, and high volumes of Internet users at certain times.
- performance and response time limits for viewing, querying, or transferring data.
- contamination by viruses of the CLIENT's data and/or software, the protection of which is the responsibility of the CLIENT.
- malicious intrusions by third parties on hosted websites, despite the reasonable security measures put in place by xxx.be and its suppliers.
- any damage suffered by the CLIENT's equipment, which is the sole and entire responsibility of the CLIENT.
- any misuse by third parties and by the CLIENT of passwords, confidential codes and, more generally, any information of a sensitive nature for the CLIENT.
ARTICLE 10: Search engine optimisation
SHEUTS.be makes every effort to ensure good search engine optimisation but cannot guarantee results. SHEUTS.be is only bound by an obligation of means in this regard.
ARTICLE 11: Force majeure
SHEUTS.be cannot be held liable for any delay caused by unforeseeable circumstances or force majeure, such as, in particular, any act by a civil or military authority, strike action, fire, flood, water damage, storm and lightning, accidents, riots, attacks, non-delivery of documents for the creation or commissioning of the product, any event attributable to a third party, or any other circumstance with an external cause preventing it, directly or through a third party, from fulfilling the said obligations.
ARTICLE 12: Jurisdiction
Any dispute relating to the interpretation and execution of these general terms and conditions of sale shall be governed by Belgian law. In the absence of an amicable resolution, the Court of Brussels shall have sole jurisdiction over any dispute relating to the interpretation and execution of a contract and its consequences.
